Clause 1- Definition

- Purchaser - means the person, firm or company raising the Order.
- Goods - means the equipment, apparatus, articles or things or any of them described in the Order.

Clause 2- General

1. The Special conditions of sale shall prevail over the general conditions of sale hereunder in the event of any conflict between the terms of the special conditions of sale and the general conditions of sale.
2. Unless otherwise agreed in writing by the Supplier these general conditions of sale which supersede any earlier sets of conditions appearing in the suppliers catalogues or elsewhere shall overrule any terms or conditions stipulated, incorporated or referred to by the Purchaser whether in the Order or order documents or in any negotiations.
3. Neither the receipt by the Supplier of any Order upon the Suppliers quotation or other documents nor the failure by the Supplier to object to the provisions, terms or stipulations in the Order shall be considered as an acceptance thereof or a waiver of sub-clause b. above.

Clause 3 Time of Delivery

Any time or date named by the Supplier for delivery is given and intended as an estimate only and the Supplier shall not be liable to make goods any damage or loss whether arising directly or indirectly out of delay in delivery or non-delivery howsoever caused.

Clause 4- Title

Title to the goods shall remain vested in the Supplier until the full purchase price and all monies due (including late interest) thereof shall have been paid to the Supplier in full. Risk in the goods shall pass to the Purchaser on its physical delivery to the delivery Site.

Clause 5- Terms of Payment

* Unless otherwise expressly agreed contract prices are strictly nett and payment in full in the respect of the goods shall in any event be due upon presentation of invoice.
* The Supplier shall be entitled to charge interest at the rate of 2% per month on overdue payment(s) from the date when such payment(s) falls due until the date when payment(s) is received.

Clause 6- Warranty

o The Supplier warrants that, subject to clause 7 below, each part of the goods supplied will be free from defects due to defective materials or defective workmanship, having regard to the state of the art at date of construction. This warranty shall remain in force (refer to brochure for actual warranty period) from the date of dispatch ex-works for delivery to the Purchaser and relates to (but only to) all such defects discovered within that period and notified to the Supplier in writing within twenty-one (21) days of discovery, provided that the goods and every part thereof has been used, handled, stored, maintained and operated in accordance with sound technical practice and the instructions issued by the Supplier. The Suppliers liability under the warranty shall be limited only to the repair or replacement (as the case may be) free of charge by the Supplier as its works of any such part found to be defective in the said respects within the warranty period. Any part so replaced shall be the property of the Supplier. Without limiting the generality of the said warranty, the said warranty given by the supplier does not cover and the Supplier makes no warranty with respect to: -

failure not reported to the Supplier within the warranty period above specified.

+ failure or damages due to mis- application, abuse, improper installation or wrong usage, wear and tear;
+ failure due to operation, either intentional or otherwise exceeding the rated capacities or in any otherwise improper manner;
+ any tampering, alternation or modification of the goods by anyone other than an authorised representative of the Supplier;
+ any damage to the goods during carriage not sue to the fault of the Supplier;
+ expenses incurred by the Purchaser in an attempt to repair or rework any allegedly defective goods;
+ the benefit of the warranty shall apply only to the Purchaser;
+ mechanical or electrical items which are of an expendable nature are excluded from the warranty; and
+ losses, costs, expenses, liabilities and damages (including loss or profits, all liabilities of the Purchaser to its customers or their persons or all other consequential damages), whether direct or indirect, and whether or not resulting from or contributed to by the default or negligence of the Supplier, its agents employees and sub-contractors, which might be claimed as the result of the use or failure of the goods delivered or installed by the Supplier;
+ for the avoidance of doubt it is hereby expressly stated that there is no further warranty, either expressed or implied, in connection with the design, sales or use of any of the Suppliers products except as to title, and suppliers liability on its warranty shall in no event exceed the cost of correcting defects in the goods sold. The Supplier does not warrant any equipment of other manufacturers designated by the purchaser.

Clause 7- Exemption Clause

The obligations of the Supplier set out herein are given and accepted in sub situation for and there is hereby excluded all other conditions or warranties whether expressed or implied by statue or otherwise on the part of the Supplier or its agent or their respective servants or agents; and save for its said obligations neither the Supplier nor its agents shall in any circumstances be liable to the Purchaser (whether in contract or in tort) for any loss or damage howsoever caused or suffered by them in connection with arsing from the goods as supplied by the Supplier.

Clause 8- Indemnity

The Supplier shall not be liable for, and the Purchaser shall indemnify and hold the Supplier harmless against, any claim by or loss damage to any person or property directly or indirectly occasioned by or arising from the use or operation or possession of the goods and from the negligence or default or misuse by or on the part of the purchaser or any person or persons. The indemnity shall extend to any loss or expenses incurred by the Supplier and shall continue in force notwithstanding completion or termination of this contract.

Clause 9- Lien

* Notwithstanding that credit may have hereinbefore been given for the payment of the price of the goods the Supplier shall be entitled to retain possession thereof until payment
* In addition to any right of lien to which the Supplier shall (in the event of the Purchasers insolvency) be entitled o a general lien on all goods of the Purchaser in the Suppliers possession (although such goods or some of them may have been paid for) for the unpaid price of any other goods sold or delivered to the Purchaser by the Supplier under the same or any other contract.

Clause 10- General

* If any term or provision of this Agreement is determined to be illegal, invalid or otherwise unenforceable by a court of competent jurisdiction, then to the extent necessary to make such provision of this Agreement legal, valid or otherwise enforceable, such term or provision will be limited, construed or severed and deleted from this Agreement, and the remaining portion of such term or provision and the remaining other terms and provisions hereof shall survive, remain in full force and effect and continue to be blinding, and will be interpreted to give effect to the intention of the parties hereto insofar as that is possible.
* Headings. Headings contained in the Agreement are solely for convenience and shall not be used to define or construe any of the terms or provisions hereof.

Clause 11- Governing Law

This Agreement shall be subject to and construed in accordance with the Laws of the United Kingdom.

Clause 12 - Delivery of Products

Flicx UK will endeavour to deliver within 5 working days of order being correctly processed. Stocks are shipped from our warehouse in Northamptonshire, or in some cases from our suppliers within the United Kingdom.

Please note that there can be delays due to stock shortages or huge demands of the products. You will however be notified should we not be able to make our 5 working day delivery target.

All orders will be generally delivered by TNT or by a bespoke for delivery service. The prices that have been listed on the ecommerce site are for delivery with no guarantee of a specific time. Should you require a specified delivery time we will be glad to quote.

Delivery costs are based on product weight and are charged at £10 up to 10Kgs and £11 from 11-20Kgs. A Cost of 30p/Kg is added over and above the 20Kg rate.
